Effective date: 13 October 2026
Zensibly is a product of BINARIFY LLP, a limited liability partnership registered under the Limited Liability Partnership Act, 2008, registered office at No. 16, Kammanahalli Main Road, St. Thomas Town, Bengaluru, Karnataka 560084, India, GSTIN 29ABHFB4741K1Z5 ("Zensibly", "we", "us", "our"). These Terms govern your use of zensibly.com and the Zensibly web and mobile applications (the "Service").
By creating an account, ticking the acceptance box, paying for a plan, or using the Service, you agree to these Terms, our Privacy Policy, our Risk Disclaimer and our Refund & Cancellation Policy. If you do not agree, do not use the Service.
In plain language
Zensibly is software that helps you trade by your own rules. You connect your own broker account using the API key your broker gives you. You set limits — a maximum daily loss, a maximum number of trades, a cut-off time, position-size rules, cooling-off periods. Zensibly watches your account through that API and, when a limit you set is hit, tries to exit your positions and lock you out for the period you chose. You can also place and manage your own orders from Zensibly's charts.
We are not SEBI-registered, we do not give advice, tips, signals or recommendations, and we never decide what or when you trade. We cannot promise an exit will happen on time, in full, or at all — brokers, exchanges, networks and SEBI's rules for API trading all sit between us and the market. This document explains what we do, where it can fail, and what each of us is responsible for.
1. Definitions
- Account — your Zensibly user account.
- Broker — a SEBI-registered stock broker whose API you connect to Zensibly. Currently: Fyers, Zerodha (Kite Connect), Dhan, Upstox, Angel One (SmartAPI) and Groww (Trade API). Supported brokers and the features available on each may change.
- Broker Credentials — the API key, API secret, client ID, access or request token, and similar credentials that your Broker issues to you and that you enter into Zensibly.
- Connected Account — a Broker trading account you have linked to Zensibly. Your plan sets how many Connected Accounts you may have.
- Rules — the limits and discipline settings you configure in Zensibly, including daily loss limits (fixed or trailing), trade-count limits, entry cut-off times, profit-target controls, position-sizing rules, cooling-off periods, "Zen Mode" (locks your Rules for the day) and "God Mode" (also locks your Broker connections for the day).
- Guardrail Action — any action Zensibly takes because a Rule triggered: cancelling open orders, placing exit (square-off) orders, refusing a new order placed through Zensibly, invoking a Broker's native kill-switch or P&L-exit feature where one exists, or applying a Lockout.
- User Order — any order you yourself initiate through Zensibly — by the chart position tool, keyboard shortcut, voice command, copy/split trading across your own Connected Accounts, or a stop-loss / target / trailing-stop you attach to a position.
- Lockout — a period during which Zensibly treats an account as closed for new entries. A Hard Lockout is enforced at the Broker's end (only where the Broker provides a kill-switch API, currently Dhan). A Soft Lockout is enforced inside Zensibly only and does not stop you trading directly in your Broker's own app.
- Armed / Unarmed — a Connected Account is Armed on a Trading Day once you have completed your Broker's daily login and two-factor authentication through Zensibly and we hold a valid access token. Until then it is Unarmed and Zensibly can neither see it nor act on it.
- Static IP — the dedicated IP address Zensibly assigns to your Account for order placement, which you must whitelist with each Broker.
- Plan, Fees — as described in Section 8.
- Trading Day — a day on which NSE or BSE is open for trading.
2. Eligibility
You may use the Service only if all of the following are true:
- You are at least 18 years old and competent to contract under the Indian Contract Act, 1872.
- You are resident in India and hold a trading account with a Broker in your own name.
- Every Connected Account is either (a) your own, or (b) the account of an immediate family member (spouse, dependent children, dependent parents) who has given you their consent, holds their own Broker Credentials, and whose use is permitted by the Broker and by exchange rules on shared static IPs. You may not connect the account of a client, friend, company or anyone else, and you may not use Zensibly to manage or monitor other people's money for a fee.
- You are not barred by SEBI, an exchange or any court from trading in securities.
- You have not previously had a Zensibly account terminated for breach of these Terms.
We may ask you to verify any of these and may suspend the Account until you do.
3. What the Service is — and is not
3.1 Software only
Zensibly is a software tool that (a) connects to Broker APIs you authorise, (b) shows you charts, positions, orders, funds and profit-and-loss data, (c) lets you place User Orders, (d) compares your account data with the Rules you set, and (e) attempts Guardrail Actions when a Rule triggers. It also provides journaling, checklists, reports and analytics computed from your own trading history.
3.2 Not SEBI-registered; no advice
- Zensibly and BINARIFY LLP are not registered with SEBI in any capacity. We are not an investment adviser, research analyst, stock broker, portfolio manager, or an exchange-empanelled algorithmic trading provider.
- We do not provide investment advice, research, tips, recommendations, trading signals, strategies, or any opinion on any security, derivative, sector or market — not in the app, not by email, not on social media, not in support conversations.
- Charts, pivots, levels, indicators, alerts, checklists, replays, backtests, "what-if" rule analyses and default values are tools and illustrations. They are computed mechanically from market data or from your own history and are not recommendations.
- The Rules are entirely yours. Zensibly never enters a trade on its own, never selects an instrument, and never changes your Rules on its own initiative. Every Guardrail Action is the mechanical result of a Rule you set.
- We do not hold, receive or transfer your money or securities. All funds and securities stay with your Broker. We never ask for your Broker login password.
- We do not promise that you will lose less, earn more, or trade better. See Section 9 and the Risk Disclaimer.
3.3 How the Service fits SEBI's rules on API trading
Under SEBI's framework for retail participation in algorithmic trading (circular of 4 February 2025 and the exchange implementation standards, fully applicable from 1 April 2026), orders placed through a Broker's API are treated as algorithmic orders. A client may run their own automation below the exchange order-rate threshold (currently 10 orders per second per exchange segment) without registering an algorithm, provided orders originate from a static IP mapped to that client and the client has completed the Broker's daily authentication. User Orders and Guardrail Actions are orders placed under your Broker Credentials, from your Static IP, on your instructions (your clicks, voice commands and Rules), far below that threshold. You remain the client responsible for those orders in the eyes of your Broker and the exchange. If SEBI, an exchange or a Broker changes these requirements, we may have to change how the Service works, restrict features or stop supporting a Broker (Section 13).
4. Broker connections, your API key and your Static IP
4.1 Your election and authorisation
Your Broker issues Broker Credentials to you under its own API terms. Some Brokers state that API credentials are intended for the account holder's own use and that fully automated trading requires exchange approval. By entering Broker Credentials into Zensibly you confirm and agree that:
- the Broker Credentials belong to you (or to a family member as permitted by Section 2.3) and were issued for that trading account;
- you have read your Broker's API terms and are choosing to use your personal credentials within a third-party tool at your own election and responsibility;
- you authorise Zensibly, as your agent for this limited purpose, to use those credentials to read the account and to place, modify and cancel orders only (a) when you initiate a User Order, or (b) when a Rule you set triggers a Guardrail Action;
- you will keep any API subscription or arrangement with your Broker current — API access is your Broker's product, not ours.
If a Broker suspends your API access, changes its terms or instructs us to stop using a key, we will comply; that is a matter between you and your Broker.
4.2 Static IP whitelisting
Brokers accept API orders only from a static IP registered to the client. Zensibly assigns you a dedicated Static IP; you must add it to each Broker's IP whitelist as the app instructs. Until you do, order placement and Guardrail Actions on that Broker will be rejected; reading positions, funds and charts is unaffected. Do not share your Static IP or use it for anything else. Brokers limit how often a whitelisted IP can be changed (typically once a week). If we must change your Static IP, we will notify you in advance where possible and the Service cannot place orders on that Broker until you update the whitelist.
4.3 Daily login: Armed or Unarmed
Broker access tokens expire every Trading Day. Until you complete your Broker's login and two-factor authentication through Zensibly on a given day, that Connected Account is Unarmed: Zensibly cannot see it, cannot place orders on it, and cannot enforce any Rule on it. The app shows each account's Armed/Unarmed state; it is your responsibility to arm before you trade. Any trading you do while Unarmed is outside Zensibly's view.
4.4 Feature availability differs by Broker
Not every feature works on every Broker. For example, Hard Lockouts are available only where a Broker exposes a kill-switch API; some guards rely on a Broker's live order feed; some run only in the browser tab you have open. The app labels each feature with the Brokers and conditions it covers. Where a feature is labelled "detect only", "this device only" or "browser tab must stay open", it will not act when that condition is not met.
4.5 Credential security
We store Broker Credentials encrypted at rest, never write them to logs, and delete them when you disconnect a Broker or delete your Account (see the Privacy Policy). Keep your devices and Broker logins secure. If you suspect your Account or Broker Credentials are compromised, email security@zensibly.com at once and revoke the key with your Broker.
5. Orders, guardrails and their limits
5.1 User Orders
When you place a User Order — by dragging a position on a chart, a shortcut, a voice command, or by attaching a stop-loss, target or trailing stop — Zensibly transmits it to your Broker under your credentials. You are responsible for every User Order exactly as if you had placed it in your Broker's own app, including orders placed by voice recognition, which may mishear you. Voice trading and cross-account copy/split trading are Pro-plan features you enable deliberately; review each fill.
5.2 Stop-loss and target protection modes
You may choose whether stop-loss and target orders rest at the Broker ("broker bracket orders", the default and recommended mode) or are watched by your browser tab and sent as exit orders when hit ("client-side only"). In client-side mode, if the tab is closed, the device sleeps or the connection drops, your position has no stop-loss or target until you reopen the app. You choose the mode; you carry that risk.
5.3 What happens when a Rule triggers
Depending on the Broker and your settings, Zensibly may, in this general order: refuse further new entries placed through Zensibly; cancel your open orders; place exit orders for your open positions; invoke the Broker's native kill-switch or P&L-exit feature where one exists; and apply a Lockout. Each step is an attempt. Sequence and timing depend on the Broker.
5.4 Best-effort execution — read this carefully
Guardrail Actions are performed on a best-effort basis. An exit can be late, partial or fail entirely. Common reasons:
- Order-type rules. SEBI and exchange rules do not permit plain market orders for API order flow. Exits are placed as limit orders priced by our logic, or as market-protected orders where a Broker supports them. They may fill partially, fill at a worse price than expected, or be rejected. We may re-attempt within exchange limits but cannot guarantee a fill.
- Latency. Time passes between a loss occurring, the Broker reporting it, Zensibly detecting it, the order reaching the exchange and the fill. Fast markets move in that window.
- Broker and exchange failures. API outages, token invalidation, rate limits, order-system failures, circuit breakers, trading halts, illiquid contracts, freeze-quantity limits.
- Our own failures. Bugs, cloud-provider incidents, network outages, Static IP changes. Section 10 sets out what we are liable for.
- Your configuration. Wrong thresholds, an Unarmed account, a missing Static IP whitelist, an expired Broker API plan, product types (for example MIS versus NRML, or physically settled contracts) that behave differently on exit.
- Positions that cannot be squared off. Banned scrips, illiquid strikes, positions under exchange restriction or pending settlement.
Continue to watch your positions with your Broker. Zensibly is one layer of discipline, not a stop-loss guarantee.
5.5 Hard versus Soft Lockouts
- Where a Broker exposes a kill-switch API (currently Dhan), Lockouts are Hard: the Broker itself blocks new orders for the day, and reactivation follows the Broker's rules.
- On all other Brokers, Lockouts are Soft: Zensibly refuses to place new entries and shows the lock, but nothing stops you opening your Broker's app and trading. A Soft Lockout is a commitment device, not a barrier.
- "God Mode" additionally prevents you from disconnecting or reconnecting a Broker in Zensibly until 15:30 IST. It does not prevent you from acting in the Broker's own app.
5.6 External-trade guard
If you enable the external-trade guard in "auto-close" mode, Zensibly will attempt to flatten positions created by orders you placed outside Zensibly (for example directly in your Broker's app) on the Brokers and feeds the feature covers. This is a Guardrail Action you have chosen; Section 5.4 applies to it.
6. Your responsibilities
You agree to: set Rules deliberately and review them regularly (default values are examples, not recommendations); arm each Connected Account by completing your Broker login each Trading Day before you trade; whitelist and maintain your Static IP with each Broker; keep your Broker API access active; monitor your positions with your Broker and act yourself if Zensibly has not; not run other tools or scripts on the same Broker key in a way that exceeds exchange order-rate thresholds, interferes with Zensibly's orders, or breaches your Broker's terms; give us accurate information and keep it updated; comply with all applicable laws, exchange rules and Broker terms, including your tax obligations; and use the Service only for accounts permitted by Section 2.
7. Acceptable use
You must not: reverse engineer, scrape or copy the Service, or use it to build a competing product; interfere with its security or infrastructure, or exceed rate limits; connect an account not permitted by Section 2, share your Account, or create multiple Accounts to evade a suspension or a billing obligation; use the Service for any unlawful purpose, market manipulation, front-running, or in breach of SEBI or exchange rules; upload malware or attempt to access other users' data; or misrepresent Zensibly's features, regulatory status or your results to others.
8. Plans, billing, renewal and cancellation
8.1 Plans and Fees
Current plans and Fees are on the pricing page. Fees are in Indian Rupees and exclude GST; GST at the applicable rate (currently 18%) is added at checkout and shown on your tax invoice, which carries our GSTIN. Each plan allows a stated number of Connected Accounts. Annual billing is offered at a discount as shown on the pricing page.
8.2 A paid plan is required to use the Service
There is no free plan or free trial. You may create an Account and read these Terms, the pricing page and the in-app documentation without paying, but connecting a Broker, placing orders and enforcing Rules require an active paid plan. When a plan ends and is not renewed, the Account moves to read-only: you can view your history and export your data, Broker Credentials are deleted, and no orders or Guardrail Actions are placed. The app warns you before that happens. Promotional offers, if any, are described on the pricing page and are governed by their stated terms.
8.3 Payment and automatic renewal
Payments are processed by our payment gateway partners (Razorpay Software Private Limited and Cashfree Payments India Private Limited). We do not see or store your card or bank details. Subscriptions renew automatically at the end of each billing period (monthly or annual, as chosen) at the then-current Fee for your plan, until you cancel. Recurring payments are collected by card standing instruction, UPI Autopay or e-mandate under RBI's e-mandate framework, which requires a pre-debit notification to you before each charge and lets you cancel the mandate at any time through the app, the gateway or your bank/UPI app.
8.4 Cancellation
Cancel anytime from Settings → Subscription or by emailing billing@zensibly.com. Cancellation stops future charges; your plan remains active until the end of the period already paid for, after which the Account moves to read-only (Section 8.2). Cancelling does not by itself delete your Account or data (see the Privacy Policy for deletion).
8.5 Refunds
Refunds are governed by the Refund & Cancellation Policy, which forms part of these Terms. In summary: a full refund is available if you request it within 7 days of your first payment for a plan; renewals are not refundable except for duplicate or erroneous charges, verified Zensibly-side outages during market hours, or where the law requires. Approved refunds are returned to the original payment method within 5–7 business days.
8.6 Failed payments
If a renewal payment fails we will retry and notify you. Your plan stays active for a 7-day grace period; after that the Account moves to read-only and Guardrail Actions stop. The app warns you clearly before that so you are never Unarmed without knowing it.
8.7 Plan changes and price changes
You may upgrade at any time (charged pro-rata for the remainder of the period) or downgrade from the next billing date. We may change Fees with at least 30 days' notice by email and in the app; the new Fee applies from your next renewal after the notice period. If you do not agree, cancel before that date.
8.8 Refer and earn
You can invite friends with your personal link or code. A friend who is new to Zensibly gets the discount shown on your Refer and earn page on their first payment. For each friend whose first payment is past the refund period and not refunded, you get the free months shown on that page. They are added to your plan by moving your next payment later, or saved until you start a plan. There is a yearly limit, shown on that page. Free months are service time, not cash, and cannot be transferred or exchanged. Invitations using fake, duplicate or your own accounts do not count. We may change or end the programme at any time; free months already added are kept.
9. Disclaimers
- Trading risk is yours. Trading in equities and especially in futures and options carries a high risk of loss. SEBI's September 2024 study found that about 93% of individual traders in equity F&O lost money over FY2022–FY2024. Zensibly does not change the risk of any trade you take.
- No advice. Nothing in the Service, website, emails, community channels or support conversations is investment, financial, legal or tax advice.
- No guarantee of protection. We do not guarantee that any Rule will trigger, that any Guardrail Action will be attempted, or that any exit will execute on time, in full or at any price. A Soft Lockout does not prevent you trading with your Broker directly.
- Data accuracy. Positions, orders, P&L and market data come from your Broker and data providers and may be delayed or wrong. Zensibly's calculations (including charges estimates, backtests and "what-if" rule analyses) may differ from your Broker's or the exchange's figures. Your Broker's contract note is the record of your trades.
- Availability. The Service is provided "as is" and "as available". We aim for high availability during market hours but do not promise uninterrupted or error-free operation. Planned maintenance is scheduled outside market hours where possible.
- Third parties. We are not responsible for the acts, omissions, terms, fees, outages or data of Brokers, exchanges, data vendors, payment gateways, cloud providers or telecom networks.
Nothing in this Section excludes liability that cannot be excluded under Indian law, including under the Consumer Protection Act, 2019.
10. Limitation of liability
This clause is written to be fair rather than absolute. Zensibly charges a modest subscription for a tool whose outcome depends on many parties we do not control.
10.1 What we are responsible for
We are liable to you for loss caused by our failure to provide the Service with reasonable skill and care, and for anything else Indian law does not allow us to exclude.
10.2 What we are not responsible for
To the extent permitted by law, we are not liable for trading losses, missed profits, slippage, partial fills, rejected or delayed orders, mis-heard voice commands, or Lockouts that were bypassed, where the cause is a Broker, exchange, data-vendor, network or payment-gateway failure; market conditions; order-type or regulatory constraints; your configuration, Unarmed state, client-side protection mode, or missing Static IP whitelist; your own trading outside Zensibly; or any other cause outside our reasonable control. We are not liable for indirect or consequential loss, loss of opportunity, or loss of data your Broker holds the authoritative record of.
10.3 Cap
Our total aggregate liability to you for all claims arising out of or relating to the Service in any 12-month period is limited to the Fees (excluding GST) you actually paid to us in the 3 months immediately before the event giving rise to the claim, or ₹990 if you paid nothing in that period.
10.4 Carve-outs
The cap and exclusions do not apply to: death or personal injury caused by our negligence; our fraud; our gross negligence or wilful misconduct, including a deliberate failure to attempt a Guardrail Action that was due under your Rules while the account was Armed; our breach of the Privacy Policy or data-protection law; or any liability that cannot be limited under the Consumer Protection Act, 2019 or other applicable law.
10.5 First remedy for outages
If a Zensibly-side outage stops monitoring or Guardrail Actions during market hours, your first remedy is the credit or refund described in the Refund & Cancellation Policy. That does not limit your rights under Section 10.4.
11. Indemnity
You agree to compensate BINARIFY LLP, its proprietor/directors, employees and contractors for losses, costs and reasonable legal fees arising from a third-party claim, regulatory action or Broker action caused by (a) your breach of these Terms or of your Broker's terms, (b) connecting an account or credentials not permitted by Section 2, (c) your unlawful conduct or market abuse, or (d) your use of the Service for anyone other than as permitted. This indemnity does not apply to the extent the loss was caused by our own breach, negligence or wrongdoing.
12. Suspension and termination
By you. Disconnect a Broker or delete your Account at any time from Settings. Deleting the Account cancels any plan and triggers erasure under the Privacy Policy.
By us. We may suspend or terminate your Account, with notice where practicable, if you breach these Terms; a Broker, exchange, SEBI or a court requires it; we reasonably suspect fraud, unauthorised use or a security compromise; payment fails beyond the grace period; or we discontinue the Service or support for a Broker. Where suspension is not due to your breach, we refund unused prepaid Fees pro-rata.
Effect. On termination Guardrail Actions stop, Broker Credentials are deleted, and Sections 9 to 11, 14 and 15 continue to apply. Your trade-history export stays available for 30 days after termination unless the law requires otherwise.
13. Changes to the Service and to these Terms
We may improve, change or discontinue features and add or drop Broker support, particularly where a Broker, exchange or SEBI changes API or algo-trading requirements. We give at least 15 days' notice of material reductions and 30 days' notice of changes to these Terms that adversely affect you, by email and in the app. Continued use after the notice period is acceptance. If you do not agree, cancel before the change takes effect; Section 12's pro-rata refund applies to any prepaid period affected by a material reduction.
14. Intellectual property
Zensibly, its software, design, text, logos and trademarks belong to BINARIFY LLP or its licensors. We grant you a limited, personal, non-transferable, revocable licence to use the Service in accordance with these Terms. Your Rules, your trade data and your Broker data remain yours; you grant us a licence to process them to provide the Service and, in anonymised and aggregated form only, to improve it. Feedback you send may be used without obligation.
15. Grievances and disputes
15.1 Grievance Officer
As required by the Information Technology Act, 2000 and rules under it, the Digital Personal Data Protection Act, 2023 and the Consumer Protection (E-Commerce) Rules, 2020:
Perumal Nallaswamy, Designated Partner & Grievance Officer
BINARIFY LLP, No. 16, Kammanahalli Main Road, St. Thomas Town, Bengaluru, Karnataka 560084, India
Email: support@zensibly.com · Phone: +91 88923 95952 (Mon–Fri 9:00–18:00 IST; live-trading issues 8:30–16:00 IST on market days)
We acknowledge grievances within 48 hours and aim to resolve them within 15 days, and in any case within the time the law requires. Include your registered email, Broker, and the date and time of the incident.
15.2 Talk to us first
Before starting legal proceedings you agree to raise the matter with the Grievance Officer and allow 30 days for resolution, unless urgent relief is needed.
15.3 Courts at Bengaluru
Any dispute not resolved under 15.2 is subject to the exclusive jurisdiction of the competent courts at Bengaluru, Karnataka, India. We have deliberately not included an arbitration clause: a consumer's right to approach a Consumer Commission cannot be taken away by one, and a single clear forum is fairer for both sides. Nothing in this Section prevents you from filing a complaint with the District, State or National Consumer Disputes Redressal Commission having jurisdiction over you, or with any regulator, where the law gives you that right.
16. Governing law
These Terms are governed by the laws of India.
17. General
These Terms, the Privacy Policy, the Risk Disclaimer, the Refund & Cancellation Policy and the consents you give in the app are the entire agreement between us on this subject. If any clause is held unenforceable the rest continues and the clause is read down to the minimum extent needed. Our not enforcing a clause is not a waiver. You may not transfer your Account; we may assign these Terms to a successor that continues the Service, with notice. We notify you at your registered email and in the app; you may notify us at support@zensibly.com or the registered address above. These Terms are an electronic record under the Information Technology Act, 2000 and need no physical signature. They are in English; any translation is for convenience only.
